Vibe SEO — Terms of Service
These Terms of Service (the “Agreement”) govern all products and services offered by Vibe SEO (the “Service Provider”) to the customer (the “Client”). The specific product(s), plan, and price the Client purchases are those the Client selects at checkout (the “Plan”). By submitting payment or clicking “I agree,” the Client accepts this Agreement in full.
Part A — General Terms
The terms in this Part A apply to every Plan, in addition to the product-specific terms in Part B for whichever product(s) the Client has purchased.
1. Services Provided
The Service Provider agrees to provide the product(s) and service(s) described by the Plan the Client selected at checkout, as further described in Part B. The Client acknowledges that the Service Provider is obligated only to provide the specific product(s) and service(s) of the Client’s Plan, and nothing more.
2. Payment Terms
The Client agrees to the recurring fee stated for the Client’s Plan at checkout, due upon sign-up and on each renewal date following. Payment is collected upfront and auto-drafted from a credit card or ACH on file. If autopayment fails, the Client must submit payment within five (5) business days to maintain an active account. If payment is not received by the end of the fifth (5th) business day, this Agreement automatically terminates and services are canceled immediately. One-time services (such as a website build add-on) are billed once, in advance, and are non-recurring.
3. Additional Services and Fees
If the Client wishes to obtain services beyond those in the Client’s current Plan, they will be negotiated apart from this Agreement and are subject to their own individual terms and fees.
4. Access and Permissions
Where a Plan requires it, and upon glitches, bugs, or codeline errors of product updates, the Client agrees to grant administrative-level access to the following platforms to allow for optimization, troubleshooting, and necessary adjustments as needed to maintain proper functionality:
- Google Business Profile / Google My Business (GMB).
- WordPress or other web design platforms.
- Google Search Console.
- Google Ads (for Plans that include ad management).
- Any other platform the Service Provider may need to deliver the Plan.
Failure to provide these credentials in a timely manner may impede service delivery. The Service Provider will not be responsible for delays caused by a lack of access, and payment obligations will remain unaffected.
5. No Refunds or Guarantees
There are no refunds for any payments made under this Agreement, with the only exception being cancellation initiated by the Service Provider. The Client understands that SEO rankings, ad performance, and lead volume are influenced by numerous external factors beyond the Service Provider’s control, including:
- Search engine and advertising-platform algorithm changes.
- Competitor strategies.
- Market conditions.
SEO is not an immediate-results process. While results typically become apparent within two (2) to three (3) months, success depends on continued efforts over time. No guarantees are made regarding rankings, traffic, leads, conversions, ad performance, or any specific outcome.
6. Cancellation
The Client may cancel at any time by submitting a written cancellation request via email to admin@vibeseo.com. Cancellation takes effect at the end of the current billing cycle, and no prorated refunds will be issued for unused portions of the service. Upon cancellation or termination of access, all virtual pages that have been created will no longer be served, and all progress that depends on the plugin — including schema markup, templated block content, and other plugin-dependent data — will be erased.
7. Termination by Service Provider
The Service Provider reserves the right to terminate this Agreement at any time for any reason.
- If termination is not due to non-payment or breach of contract, the Service Provider will provide seven (7) days’ written notice.
- If the Service Provider cancels this Agreement, a refund will be issued for the current month of service.
Free and Non-Billed Accounts. Notwithstanding anything above, any account that is not presently being billed — including accounts on a free plan, a free trial, a promotional, coupon, or complimentary free-usage period, or any other non-paying arrangement — is provided solely at the discretion of the Service Provider. The Service Provider reserves the right to suspend, limit, or terminate any such non-billed account at any time, for any reason or for no reason, without notice, refund, or liability of any kind. The seven (7) day notice and refund provisions above apply only to accounts with an active, paid subscription in good standing.
8. Indemnification
The Client agrees to indemnify and hold harmless the Service Provider from any claims, damages, losses, or liabilities arising from services rendered under this Agreement, except in cases of gross negligence or willful misconduct by the Service Provider.
9. Hosting and Site Integrity
If the Service Provider hosts the Client’s website, the Client acknowledges that any alterations or caching may be lost and that the site may revert to its previous state prior to optimizations. Hosting may be outsourced to private partners as deemed necessary by the Service Provider. The Client may request a site backup prior to major changes or before discontinuing hosting services.
10. Publicity and Attribution
- The Client acknowledges that Vibe SEO may be named and linked in the universal footer of any site the plugin is active on.
- Vibe SEO may use the Client as a case study in marketing content, and such mentions may remain permanently available online.
11. Client Responsibilities
The Client is responsible for providing all necessary access, credentials, and cooperation required for the Service Provider to deliver services effectively. Delays in providing these resources will not affect payment obligations and will not be considered negligence by the Service Provider. The Client is alone responsible for the results on their site and for the accuracy of all information the Client provides.
12. Limitation of Liability
The Service Provider’s total liability for any claims under this Agreement, whether in contract, tort, or other legal theories, shall be limited to the amount paid by the Client for the month in which the claim occurred. This limitation does not apply in cases of gross negligence or willful misconduct. In no event is the Service Provider liable for third-party charges, including advertising spend, outlet or wire-service fees, or platform charges.
13. Dispute Resolution
Any disputes arising from this Agreement shall first be subject to mediation. If mediation fails, disputes shall proceed to arbitration under the American Arbitration Association in Fort Worth, Texas.
14. Jurisdiction and Governing Law
This Agreement shall be governed by Texas law, with exclusive jurisdiction in Tarrant County, Texas.
15. Renewal and Rate Changes
This Agreement automatically renews on a month-to-month basis (or on the renewal term stated for the Client’s Plan). The Service Provider reserves the right to modify rates with thirty (30) days’ written notice. If the Client does not agree to the new rates, they may cancel before the changes take effect without penalty.
16. Entire Agreement and Amendments
This Agreement, together with the Plan the Client selected at checkout, constitutes the entire agreement between the parties and supersedes all prior understandings. No services outside those in the Client’s Plan will be performed without a new agreement or amendment.
17. Execution
Upon payment submission, this Agreement becomes effective. Where the Plan includes plugin access, delivery of up-to-date plugin files is immediate. If there is a delay or problem with receiving the plugin files or with any service, the Client will reach out to Vibe SEO at admin@vibeseo.com or at 866-VIBE-SEO.
Part B — Product-Specific Terms
The following terms apply to the specific product(s) in the Client’s Plan, in addition to the General Terms above. Where the Client’s Plan includes more than one product, the corresponding sections all apply.
B1. Vibe SEO Plugin (Self-Service Software)
The Vibe SEO plugin is provided as a subscription to software and the tools within it. The Service Provider’s obligation under a plugin-only Plan is limited to ensuring ongoing access to, and proper function of, the Vibe SEO plugin. The Client operates the plugin and is responsible for the changes they make with it. Feature availability depends on the plugin tier the Client purchased. Upon cancellation, virtual pages are no longer served and plugin-dependent data is erased as described in Section 6.
Remote access gateway. By installing and activating the Vibe SEO plugin on your website, you grant the Service Provider a remote gateway to your site. This gateway allows the Service Provider to make edits, updates, and adjustments to your website remotely — for example, to carry out agency edits you have requested, to apply plugin updates, and to perform maintenance, troubleshooting, and support for plugin users. The Service Provider will use this access solely to operate, support, improve, and troubleshoot the Service, and never for any unrelated purpose. The Client is responsible for maintaining current backups of the website. The Client may revoke this access at any time by deactivating or deleting the Vibe SEO plugin.
B2. Done-For-You SEO Services (Agency Plans)
Under a Done-For-You (Agency) Plan, the Service Provider performs search-engine-optimization work on the Client’s behalf according to the tier the Client purchased. The scope of each tier — including the number of target markets/cities, the cadence of published content, the frequency of press releases, and any dedicated account management — is as described on the Vibe SEO services page at the time of purchase. All work is provided on a best-efforts basis and represents effort, not guaranteed placement or outcomes. Any one-time website-build add-on is a separate, non-recurring engagement that may require a discovery call and may be declined by the Service Provider if the Client’s site is unsuitable.
Press Releases and Published Content. Where the Client’s Plan includes press releases or other published or syndicated content, the following applies:
- The Client is solely responsible for reviewing and confirming the accuracy of all facts, names, claims, offers, contact information, and other details, both before and after publication. The Service Provider prepares content in good faith from information supplied by or on behalf of the Client and does not independently verify, and is not responsible for, the accuracy of that information.
- Once a press release or content item has been submitted for distribution, the Service Provider does not undertake to issue corrections, retractions, edits, or takedowns. The Service Provider’s role is limited to the initial creation and submission of the release, and its responsibility ends upon submission.
- If a correction, retraction, update, or removal is required for any reason — including an error, a change in the Client’s information, or a third-party complaint — the Client is solely responsible for requesting it directly from the publishing outlet, wire service, or platform, and for any fees those outlets charge to make the change. The Service Provider may, as a courtesy and at its sole discretion, assist in relaying such a request, but is under no obligation to do so and bears no cost or liability for it.
- The Service Provider does not control, and is not responsible for, whether, where, how long, or in what form any outlet publishes, retains, or removes a release, nor for any editorial decisions those outlets make.
B3. Vibe Agentic (Autonomous SEO Add-On)
Vibe Agentic is an autonomous add-on in which a team of AI agents works on the Client’s site on a continuing basis — creating and optimizing content, performing technical fixes, and expanding the site — within the guardrails the Client and the Service Provider configure.
- Plugin dependency. Vibe Agentic requires an active, paid Vibe SEO plugin subscription to operate. If the underlying plugin subscription lapses, is downgraded below the required tier, or is canceled, Vibe Agentic is suspended without refund for the period affected.
- Separate billing. Vibe Agentic is billed separately from the plugin and from any other product, at the price shown at checkout. Founding/introductory pricing, where offered, applies only for as long as the subscription remains continuously active.
- Authorization for automated changes. The Client authorizes the Service Provider’s automated agents to make, publish, and revise changes to the Client’s site autonomously within the configured guardrails. Every change is logged and is reversible. The Client remains responsible for reviewing the work produced and for the content of their site.
- No guarantee. As with all Services, no ranking, traffic, or revenue outcome is guaranteed. AI-generated content, while safety-gated for quality and originality, is provided on a best-efforts basis, and the Client is responsible for its final use.
B4. G Money (Automated Ad Management)
G Money is an automated advertising-management platform in which AI builds, launches, and optimizes Google Ads campaigns on the Client’s behalf. G Money is a distinct product with its own billing. G Money is an operating interface only — it connects to the Client’s own Google Ads account, and every campaign, ad, and creative it produces is created and stored inside that account, which the Client owns and controls at all times. G Money is not affiliated with, sponsored by, or endorsed by Google LLC; “Google” and “Google Ads” are trademarks of Google LLC.
- Ads live in the Client’s own account. All campaigns and ads created by G Money exist within the Client’s own Google Ads account. G Money is not a manager of the Client’s Google Ads account as a whole; it manages only the campaigns and ads it creates within the platform. G Money is not designed to, and does not, manage, monitor, adjust, or control any campaigns, ads, or spend created outside of the G Money platform.
- Management fee vs. ad spend. The G Money fee is a management fee only and does not include advertising spend. All advertising spend is billed directly by the advertising platform (e.g., Google) to the Client, using the Client’s own payment method and account. The Service Provider does not receive, hold, or control advertising spend and is not responsible for platform billing, chargebacks, overdelivery, or any charges the advertising platform imposes.
- Platform overdelivery. The Client acknowledges that the advertising platform controls delivery and billing. Google may spend up to twice (2×) a campaign’s average daily budget on a given day, balancing against the monthly charging limit. Day-to-day spend may therefore exceed the configured daily budget without constituting an error by G Money, and the Service Provider is not responsible for the platform’s delivery or overdelivery behavior.
- Client control and account safety. The Client retains full ownership of and access to their Google Ads account at all times. In the event of a system error, outage, interruption, or catastrophic failure of G Money, the Client is solely responsible for managing, pausing, defunding, or disconnecting their own Google Ads account, and can take these actions directly in Google Ads at any time, independently of G Money. The Client further understands that disconnecting G Money or revoking its access only stops G Money from making further changes; any campaigns already live in the Client’s Google Ads account will continue to run and spend until the Client pauses or stops them directly within Google Ads. In a catastrophic-failure scenario, disconnecting G Money alone will not halt active spend, and the Client remains solely responsible for pausing campaigns and defunding or disconnecting the account within Google Ads.
- No liability for ad spend. The Service Provider and Vibe SEO will not be liable for any overspending, underspending, excessive or duplicate campaigns, misallocated budget, or any loss of ad spend of any kind. Vibe SEO is not responsible for any losses of ad spend.
- Client verification and monitoring. The Client is responsible for verifying all target keywords, service areas, budgets, and ad creatives, and for independently monitoring and managing their own ads from within their own Google Ads account. If the Client notices unusual activity, unexpected spend, or anything that appears incorrect, they must report it immediately to admin@vibeseo.com.
- Platform compliance. The Client is responsible for their advertising account, its funding, and compliance with the advertising platform’s policies. The Service Provider is not responsible for account suspensions, ad disapprovals, or policy actions taken by the advertising platform.
- No guarantee; assumption of risk. The Service Provider manages campaigns on a best-efforts basis within the budget guardrails the Client configures. No specific cost-per-lead, conversion volume, return on ad spend, or other performance outcome is guaranteed. Vibe SEO does not financially guarantee results, and the Client assumes all risks associated with ad creation and management.
- Learning and ramp-up period. G Money’s AI improves over time and requires a ramp-up period during which it learns, the length of which depends heavily on Client input and feedback. Clients are encouraged to begin with smaller budgets to verify proper functionality and to increase spend gradually as the system learns. As additional ad spend is introduced, the AI produces more campaigns and split-tests more ads to identify better-performing winners and reallocate portions of the budget toward them.
- Required lead feedback. To learn properly and become more proficient, the AI depends on complete data. The Client must fully and promptly submit all requested information for every lead generated. Incomplete or missing lead feedback will degrade the system’s performance, and the Service Provider is not responsible for reduced performance resulting from incomplete Client input.
- Lead contact and consent (TCPA). Leads generated through G Money are contacted by the Client, not by the Service Provider. The Client is solely responsible for contacting leads in compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), state telemarketing and mini-TCPA laws, the CAN-SPAM Act, and federal and state Do-Not-Call rules. The Client is responsible for obtaining any required consent before calling, texting, or emailing a lead and for honoring all opt-out and do-not-contact requests. The Service Provider is not responsible for the Client’s communications with leads.
- Lead data and privacy. Leads generated through G Money contain personal information of third parties. As between the parties, the Client is the controller of that information and is solely responsible for handling it lawfully, including providing any required privacy notices, maintaining reasonable data security, and complying with applicable privacy laws (such as the CCPA and, where applicable, the GDPR). The Service Provider processes such information only to provide the Service.
- Third-party dependencies. G Money depends on services operated by third parties, including the Google Ads platform and API and the communication providers used for lead and call tracking. Outages, rate limits, pricing changes, or policy or API changes by those providers may interrupt or affect the Service and are outside the Service Provider’s control.
- Limitation of liability. The limitation of liability in Part A applies fully to G Money. Any aggregate liability of the Service Provider relating to G Money is limited to the G Money management fees actually paid by the Client for the month in which the claim arose, and advertising spend is expressly excluded from that amount and from any liability of the Service Provider. This limitation is in addition to, and does not limit, the other disclaimers in this Section B4.
- Spend authorization. The Client authorizes G Money’s automated system to create campaigns and to allocate and reallocate the Client’s configured advertising budget across campaigns, keywords, and creatives. The Client may change or pause budgets at any time, subject to the advertising platform’s own processing times.
17. SMS / Text Messaging Terms
By providing a mobile telephone number and opting in—including by submitting a form on a landing page operated by Vibe SEO or its customers, requesting a quote, replying to a message, or checking a consent box—you consent to receive text messages (SMS/MMS) from Vibe SEO and, where applicable, the business whose services you requested. Messages may include appointment scheduling, service and account notifications, responses to your inquiry, and, where you have separately consented, marketing.
Message frequency varies. Message and data rates may apply. Consent to receive text messages is not a condition of any purchase. Reply STOP to cancel at any time, or HELP for help. Carriers are not liable for delayed or undelivered messages. Mobile opt-in information and consent are never shared or sold to third parties or affiliates for their marketing purposes; see our Privacy Policy for details on how we handle your information.
Acceptance
By submitting payment or clicking “I agree,” the Client acknowledges that they have read, understood, and agree to this Agreement, including the General Terms and the product-specific terms for the Plan(s) they have purchased. A verbatim copy of this Agreement is captured and recorded at the moment of acceptance.
SMS Terms & Conditions — G Money Lead Notifications
Program description: G Money, a service of Vibe SEO, sends subscribed business owners a text message when a new sales lead submits the business’s own contact form or calls their tracked number.
Consent: You opt in during account setup by providing your mobile number in the Lead Delivery settings and enabling the Text Alerts toggle. Consent to receive text messages is not a condition of any purchase.
