Terms of Service
1. Services Provided
The Service Provider agrees to perform the following services for the Client:
- Optimization of Google Business Profile (GBP)
- 3 to 5 weekly GBP postings
- Google review responses
- Monthly audits to scan for issues
- Up to 3 weekly blog posts
- Efforts to boost Domain Rating (DR) up to 70
- Keyword research
- Optimization of the homepage
- Creation of 4 related service pages or landing pages
- Creation and optimization of 20X to a total of 100 core pages
- This typically includes 20 location-specific pages with 4 associated service pages each.
- Initial press release to 550+ media outlets providing powerful backlinks
- Monthly press release to 500+ media outlets providing powerful backlinks
- Get and stay listed across all available local platforms
- Sitemap submissions, forced indexing, and Google Search Console (GSC) monitoring
The Client acknowledges that the Service Provider is not a web design firm and will not build pages from scratch.
Optimization may include:
- New content creation.
- Adjustments of pre-existing content.
- Deletion of pre-existing content.
- Change of appearance.
- Alteration of any file types, including but not limited to photos, videos, sound recordings, etc.
- Addition or removal of any file type.
This is not necessarily an exhaustive list of all types of optimizations that may occur on the site. The Service Provider will take any reasonable actions deemed necessary to increase optimization of the site in alignment with SEO best practices. The Client understands that optimization may not cater to their personal preferences, and as long as the information posted is not false, the Client agrees to allow such changes to be made by the Service Provider as deemed necessary. If the Client makes any unauthorized changes to optimized content, they acknowledge that previous SEO efforts may be completely negated.
The Service Provider may have additional acquaintances and/or partners that are not necessarily part of the same entity as Vibe SEO LLC who may render services, provide expert opinions, troubleshooting, or other services related to the optimization of the site. This may include granting access to the backend of the site at administrator levels as the Service Provider sees fit. The Service Provider may also hire the services of various off-page SEO providers to assist in creating the greatest overall results for the Client.
2. Payment Terms
The Client agrees to monthly payments of $3,000, due upon sign-up and on the first (1st) of each month. Payment is collected upfront and auto-drafted from a credit card or ACH on file. If autopayment fails, the Client must submit payment within five (5) business days to maintain an active account. If payment is not received by the end of the fifth (5th) business day, this contract automatically terminates and services are canceled immediately. Reactivation requires a new onboarding fee and a new service agreement. If the Client prefers to make manual payments, these must be received on or before the first (1st) of each month to avoid automatic termination.
3. Additional Services and Fees
- Optimization of additional core pages or re-optimization of existing pages for new keyphrases: $1,000 per page per optimization.
- Keyword research to find ideal keyphrases to rank is not included with standard services. If keyword research is requested, it will incur an additional $250 charge per occurrence.
4. Access and Permissions
The Client agrees to grant administrative-level access to the following platforms to allow for optimization, troubleshooting, and necessary adjustments:
- Google My Business (GMB).
- WordPress or other web design platforms.
- Google Search Console.
- Any other platform the Service Provider may need to optimize the site.
Failure to provide these credentials in a timely manner may impede service delivery. The Service Provider will not be responsible for delays caused by a lack of access, and payment obligations will remain unaffected.
5. No Refunds or Guarantees
There are no refunds for any payments made under this Agreement, with the only exception being cancellation initiated by the Service Provider. The Client understands that SEO rankings are influenced by numerous external factors beyond the Service Provider’s control, including:
- Search engine algorithm changes.
- Competitor strategies.
- Market conditions.
This is not an immediate-results process. While results typically become apparent within two (2) to three (3) months, SEO success depends on continued efforts over time. No guarantees are made regarding rankings, traffic increases, or specific outcomes.
6. Cancellation
The Client may cancel this service at any time by submitting a written cancellation request via email to [specified contact]. Cancellation will take effect at the end of the current billing cycle, and no prorated refunds will be issued for unused portions of the service.
7. Termination by Service Provider
The Service Provider reserves the right to terminate this Agreement at any time.
- If termination is not due to non-payment or breach of contract, the Service Provider will provide a seven (7) day written notice.
- If the Service Provider cancels this Agreement, a prorated refund will be issued for the current month.
8. Indemnification
The Client agrees to indemnify and hold harmless the Service Provider from any claims, damages, losses, or liabilities arising from services rendered under this Agreement, except in cases of gross negligence or willful misconduct by the Service Provider.
9. Hosting and Site Integrity
If the Service Provider hosts the Client’s website, the Client acknowledges that any alterations or caching may be lost and that the site may revert to its previous state prior to optimizations. Hosting may be outsourced to private partners as deemed necessary by the Service Provider. The Client may request a site backup prior to major changes or before discontinuing hosting services.
10. Additional Clauses
- The Client agrees to have “Vibe SEO” named and linked in the universal footer of the website.
- Vibe SEO may use the Client as a case study in marketing content, and such mentions may remain permanently available online.
11. No Additional Services
No services outside those listed in this Agreement will be performed without a new agreement or amendment.
12. Client Responsibilities
The Client is responsible for providing all necessary access, credentials, and cooperation required for the Service Provider to deliver services effectively. Delays in providing these resources will not affect payment obligations and will not be considered negligence by the Service Provider.
13. Limitation of Liability
The Service Provider’s total liability for any claims under this Agreement, whether in contract, tort, or other legal theories, shall be limited to the amount paid by the Client for the month in which the claim occurred. This limitation does not apply in cases of gross negligence or willful misconduct.
14. Dispute Resolution
Any disputes arising from this Agreement shall first be subject to mediation. If mediation fails, disputes shall proceed to arbitration under the American Arbitration Association in Fort Worth, Texas.
15. Jurisdiction and Governing Law
This Agreement shall be governed by Texas law, with exclusive jurisdiction in Tarrant County, Texas.
16. Renewal and Rate Changes
This Agreement automatically renews on a month-to-month basis. The Service Provider reserves the right to modify rates with a thirty (30) day written notice. If the Client does not agree to the new rates, they may cancel before the changes take effect without penalty.
17. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.
18. Execution
Upon final signature, this Agreement becomes effective. Onboarding will commence within five (5) business days, and monthly billing will begin on the following first (1st) of the month.
